Medical challenges require a new set of skills: coping skills.  CopingUniversity.com is here to help you learn the coping skills you need from different perspectives that will shed new light on the problem as well as the solutions.  

The following terms form an agreement between you and A Few Good People, Inc. ("we" or "us"), the operator of the CopingUniversity.com website (the “Site”).  These "Terms and Conditions" (agreement) govern your use of the Site, both as a casual visitor and as a Registered Student (as defined below)

Our site has rules about what you can and can’t do, and what we will and won't do. Those are all outlined below. Please read them carefully because we want to be sure you understand and accept them before you register as one of our students and gain access to our content.

BY USING THE SITE AND BY REGISTERING WITH US YOU SIGNIFY THAT YOU AGREE TO THESE TERMS AND CONDITIONS, including that you agree to communicate with us electronically and that you consent to our
Privacy Policy.  We offer the Site "AS IS," without warranties of any kind.

1. About the Site

CopingUniversity.com is NOT an accredited learning institution and no officially or legally recognized degrees, titles, or designations are awarded or earned.  We use the term “University” as a metaphor for a place of learning, because that’s what we are: a place to learn, in our case, coping techniques and skills.  In addition, we have chosen to remain consistent in our use of the “university” metaphor by using relevant terms such as “curriculum,” “student,” “lesson plan,” etc.

We strive to offer new ideas and perspectives on coping skills.  It is not our intention to prevent, diagnose, treat, or cure any disease or condition, and nothing on our site should be construed in such a manner.  Never change your treatment or lifestyle without consulting your doctor or some other licensed medical professional.

We do not recommend, endorse, or make any warranties as to any tests, physicians, services, products, procedures, opinions, or other information that may be mentioned on this site.

We sometimes partner with non-profit and for-profit organizations in order to support the site and help make it available to more people who will benefit from its use.  We sometimes proudly and prominently display our sponsors’ logos and other identifying information in addition to our own. These terms and conditions apply to all versions of the site, with or without sponsors’ branding.

We may accept advertising on the Site. We try to make good choices in what advertisements we will and won’t accept. Everything we offer on the Site is referred to in these Terms and Conditions collectively as the “Services." Some of the Site is accessible without registering with us, but in order to access full content you must register and agree to these Terms and Conditions.
  

2. Registration

You can view demonstration sections of the Site without registering.  By “Demonstration”, we mean any part of the Site containing information about our content such as lists and descriptions of our content as well as sample excerpts from our content. In order to access any of our programs in their entirety, however, you must register and agree to these terms and conditions.  You may not attempt to impersonate another person, or violate the rights of others.  

Registration is a two-step process. First step: you must fill out the registration form on the Site, after which we will send a confirmation email to you at the address you specified, containing a special link.  Second step: you must then click on the link we sent you in order to verify your email address and complete the registration process.

Once you have completed both steps of the registration process, you are considered a “Registered Student” and will have access to and all content that is available to other Registered Students.

3. Your Personal Information

Our Privacy Policydescribes the information we collect when you and others use this Site. It also describes how we use the personal information you share with us and some of the steps we take to protect your privacy. Our Privacy Policy is part of these Terms of Use. By agreeing to these Terms of Use, you are also consenting to our use of your personal information in accordance with our Privacy Policy. Please review our Privacy Policy.

4. Your Responsibilities

During registration you will provide an email address and create a password. These are your credentials for accessing Services that are only available to Registered Students ("Credentials").  You agree that we, and vendors acting on our behalf, may use your Credentials to authenticate you on the Site. You are responsible for all uses of the Site using your Credentials, including use by others to whom you have given your Credentials. You are responsible for keeping your password confidential and for notifying us if your password has been hacked or stolen. If you discover that someone is using your password or account without your consent, or you discover any other breach of security, you agree to notify us immediately.  You may use the Site and Services for lawful, non-commercial purposes only.

 

You agree to (a) provide true, accurate, current and complete information about yourself as prompted by the registration process, and (b) to maintain and promptly update your Registered Student Information to keep it true, accurate, current and complete.

 

As a Registered Student you will choose a unique password. When you sign in using your password you will be able to update your Registered Student Information. You may change your password at any time.

 

You are responsible for maintaining the confidentiality of your password and are fully responsible for all activities that occur under your password. You agree to notify us immediately of any known or suspected unauthorized use of your password or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to protect the confidentiality of your password.

 

Every Registered Student is responsible for maintaining the confidentiality of their unique password. Our system provides a measure of privacy only if the web site address and the Registered Student’s e-mail/password are not shared with others without the Registered Student’s permission

 

We have no way of knowing and will not be responsible or liable if an individual accesses our site using an e-mail/password combination obtained through improper means.

 

In addition, individuals using this Site must understand that the Internet is inherently insecure and no web site operator can guarantee that a web site is secure. We do not warrant that this Site is secure or “hackerproof” and you use this Site solely at your own risk.

5. Your Use of Content

All of the editorial content (“Content”) available on the Site, including recorded audio/video content as well as associated handouts, is owned by us and/or our experts, and is protected by international treaties, copyright and trademark laws and may have security components that protect digital information.

 

No right, title or interest in this Site, or any Content on this Site is transferred to you under these Terms of Use.

 

Except where otherwise noted, nothing contained on this site should be construed as granting any license or right to use any of the Content on this Site or Marks displayed without the express written permission of  us or the applicable content or Mark owner. Any unauthorized use of any Mark or any other content is strictly prohibited.

 

This site is for your personal use only. You may not copy, modify, adapt, reproduce, translate, reverse engineer, decompile, disassemble, sublicense or assign any aspect of any information accessed via this site. All forms of sub-licensing, reselling republication or other form of distribution, including, but not limited to, any internet posting, electronic mailing, streaming, faxing, archiving in a public database or redistributing through any computer network, or in any printed form, to third parties, is strictly prohibited unless previously agreed to by  us in writing.

 

We give you permission to use the Content for personal, non-commercial purposes only.  You may also print, download, and store recordings, handouts, and other information for your own convenience, but you may not distribute, republish, sell, mine, exploit, frame or scrape any of the Content, or exploit the Content for commercial gain. Contact us here for information on how you can request limited permission to reproduce certain Content from the Site.


You understand and expressly agree that use of this website is at your own risk, that any material or data downloaded or otherwise obtained through the use of the website is at your own discretion and risk, and that you are solely responsible for any damage to your computer system or loss of data that results from the download of such material or data, and for any other form of damage that may be incurred.

6. Ownership of Feedback

CopingUniversity.com welcomes your comments and feedback regarding this Site. All information and materials submitted to CopingUniversity.com through this Site, such as any comments, feedback, ideas, questions, designs, data or the like (collectively, “Feedback”), will be considered NON-CONFIDENTIAL and NON-PROPRIETARY. For this reason, we ask you not to send us any information or materials that you do not wish to assign to us, including, without limitation, any confidential information or any original creative materials such as product ideas, computer code, or original artwork.

By submitting Feedback to CopingUniversity.com through this Site, you assign to CopingUniversity.com, free of charge, all worldwide rights, title and interest in all copyrights and other intellectual property rights in the Feedback you submit. CopingUniversity.com will be entitled to use any Feedback you submit through this Site, and any ideas, concepts, know-how or techniques contained in any such Feedback, for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products and services using such Feedback without restriction and without compensating you in any way.

You are responsible for the information and other Content contained in any Feedback you submit to us in any form including but not limited to voicemail, US mail, or email.

7. Links to Other Sites

The Site may include links to other websites, including links that may be provided as automated search results. Some of these sites may contain materials that are objectionable, unlawful, or inaccurate. These links are provided for your convenience only and do not mean that we or our sponsors or our advertisers endorse these sites or the products and services they provide. You acknowledge and agree that we/they are not responsible or liable for the content or accuracy of these other sites.

8. Linking To the Site

You generally do not need to obtain permission from us to put a text link on your site that links back to the CopingUniversity.com website. We reserve the right, however, to revoke permission to the link at any time in our sole discretion. If we revoke such consent, you agree to immediately remove and disable any and all of your links to the Site. In the absence of a written agreement with us specifying how you may link to the site, use the following guidelines for adding one or more links to the Site from your website:

The link must be a text-only link that clearly includes the phrases “CopingUniversity.com" or “CopingUniversity”.

The link must "point" to a page on www.CopingUniversity.com

If the link points to any page on the Site other than the home page, the text link must also include the title of the target landing page. For example, if the link points to the “Curriculum” area of the Site, the link should include the words “Curriculum – CopingUniversity”

The appearance, position and other aspects of the link may not be such as to damage or dilute the goodwill associated with the CopingUniversity.com or A Few Good People, Inc. or The Patient/Partner Project  name and trademarks

The appearance, position and other aspects of the link may not create the false impression that an entity is associated with, sponsored by, or endorsed by CopingUniversity.com or A Few Good People, Inc, or The Patient/Partner Project.

The link, when activated by a user, must display the Site full-screen and not within a "frame" on the linking website and linking may not trigger any interstitial or pop-up or pop-under windows

The link may not be used in connection with or appear on a website that a reasonable person might consider offensive, obscene, defamatory or otherwise malicious

9. Advertising

We accept advertising from companies that we believe are reputable. Please keep in mind that any dealings that you have with advertisers found on the Site are between you and the advertiser and you acknowledge and agree that neither we nor our sponsors, partners, or other advertisers are liable for any loss or claim you may have against an advertiser.

Our acceptance of advertising does not in any way imply endorsement of the advertiser or their products or services by us, our  partners, or our sponsors unless otherwise stated..

10. Sponsors

We accept sponsorships from companies that we believe are reputable. Please keep in mind that any dealings that you have with sponsors found on the Site are between you and the sponsor and you acknowledge and agree that neither we nor our advertisers, partners, or other sponsors are liable for any loss or claim you may have against a sponsor.

Our acceptance of sponsorship does not in any way imply endorsement of the sponsor or their products or services by us, our partners, our other sponsors, or our advertisers unless otherwise stated.

11. Partners

We partner with support organizations who help us raise awareness for our Site and Services. Please keep in mind that any dealings that you have with partners found on the Site are between you and the partner and you acknowledge and agree that neither we nor our sponsors, advertisers, or other partners are liable for any loss or claim that you may have against a partner.

Our acceptance of a partnership does not in any way imply endorsement of the partner or of their products or services by us, our advertisers, our other partners, or our sponsors unless otherwise stated.

12. Changes to the Site and Services

We may from time to time modify the Site, add new Services, substitute a new Service for an existing Service, or discontinue an existing Service. Information about new Services will be included on the Site, and, unless otherwise indicated, the use of new Services will be governed by these Terms and Conditions.

13. Additional Terms

Certain Services on the Site may have additional terms (such as policies, guidelines, and rules) that will further govern your use of that particular Service and supplement these Terms and Conditions. If you choose to register for or access any such Service, you will be presented with any relevant additional terms and conditions at that time. By using those Services, you agree to comply with such additional guidelines and rules.

14.  Special Note for Parents

This site is a general audience site and not designed or intended to attract children 13 and younger. We do not collect personal information from any person we actually know is 13 or younger.  Parents and guardians permitting those children who are 13 years of age or younger to use the Site should be aware that any information voluntarily given by children may be viewed by third parties.  If you have any questions regarding children’s privacy, please send tell us about it here.

 

Our content is intended for people of all ages who are dealing with a serious illness in any capacity; however special care must be taken to protect children under the age of 13. For this reason, CopingUniversity.com does not knowingly permit children to become Registered Students—a parent or guardian must register and take responsibility for use of the CopingUniversity.com content. We require that our Registered Students take similar precautions before giving a child under the age of 13 access to CopingUniversity.com  Registered Students may not provide access to CopingUniversity.com to a child under the age of 13 without the express consent of the child’s parent or guardian.

 

We recommend that parents and guardians instruct their children on the safe use of CopingUniversity.com and to supervise their children as necessary.

15. Changes to These Terms and Conditions

We may change these Terms and Conditions at any time, as we deem appropriate. If we make changes that we believe will have a material impact on your use of the Site, we will require that you approve the new Terms and Conditions the next time you log in.

16. Sweepstakes and Contests

From time to time, we may offer and/or co-sponsor contests, sweepstakes, and games on the Site. Each of these activities shall be governed by specific rules accessible from the page offering the contest, sweepstakes, or game, and which will be presented to you at the time you choose to participate in a contest, sweepstakes, or game.

17. Restrictions on use

To help ensure that everyone’s experience at CopingUniversity.com is a positive one, we have certain rules of conduct which we expect you to follow.  You agree you will not:

  • use contact information provided by our users, or harvest information about our users, for the purpose of sending, or to facilitate the sending, of unsolicited bulk communications such as SPAM or SPIM;
  • interfere with or disrupt the Site’s services or systems;
  • attempt to gain unauthorized access to the Site or any Registered Student’s profile;
  • provide false information on your registration form, impersonate any person or otherwise mislead anyone on the Site;
  • use any robot, spider, scraper or other automated means to access the Site in a manner that sends more request messages to our servers in a given period of time than a person can reasonably produce in the same period. If you are public search engine, however, you may use spiders to copy materials on the Public areas of the Site solely as necessary to create publicly available searchable indices of the Public materials. Public Search Engines may not create caches or archives of such materials.
  • download or use any photograph without the permission of each person in the photograph;
  • use or post the name of any of our experts their knowledge and consent;
  • disclose any Content, including any medical information, about an identifiable person without that person's permission;
  • impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;

You acknowledge, consent and agree that CopingUniversity.com may access, preserve, and disclose your personal information if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms of Use; (c) respond to claims that any Content violates the rights of third-parties; (d) respond to your requests for assistance; or (e) protect the rights, property, or personal safety of CopingUniversity.com and its sponsors and/or partners.

We may take any legal and technical remedies to prevent the violation of this provision and to enforce these Terms and Conditions.

18. International Use

The Site and Services, including the information provided on the Site, are designed for and intended for users in North America. We make no representation that the Site or Services are applicable to, appropriate for, or available to users in locations outside North America. Accessing the Site and Services from territories where the content is illegal is prohibited. If you choose to access the Site and Services from a location outside the U.S., you do so at your own initiative and you are responsible for compliance with local laws.

19. We Make No Warranties

YOU AGREE THAT YOUR USE OF THE SITE SHALL BE AT YOUR SOLE RISK. WE PROVIDE THE SITE AND THE SERVICES “AS IS”.  TO THE FULLEST EXTENT PERMITTED BY LAW, COPINGUNIVERSITY.COM, A FEW GOOD PEOPLE, INC. AND THEIR AFFILATED COMPANIES, THEIR OFFICERS, DIRECTORS, EMPLOYEES, SPONSORS, PARTNERS, AND AGENTS (FOR THE PURPOSES OF THIS PARAGRAPH, THE NEXT TWO PARAGRAPHS, AND THE PARAGRAPH ON DISPUTE RESOLUTION, COLLECTIVELY, “WE”, “US” OR “OUR”) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, SECURITY AND COURSE OF DEALING. 21. Limitation of Liability

We will not be liable, whether in contract, tort, strict liability or otherwise, for any indirect, punitive, special, consequential or incidental damages (including without limitation lost profits or lost opportunity) arising out of or in connection with the use of this Site, or a linked site, including any delay or inability to use the Site or linked site, even if We were made aware of the possibility of such damages.  In no event will We be liable for the procurement of substitute services. the cumulative amount of Our liability to you, no matter the nature of your legal or equitable claim, will not exceed  $50.

These limitations on liability includes, but are not limited to, the transmission of any viruses which may infect your equipment, failure of equipment or communication lines, unauthorized access, theft, operator errors, strikes or other labor problems or any force majeure.

Although We will use commercially reasonable efforts to address any problems or concerns regarding the Site or the Services, if you continue to be dissatisfied with this Site or services or with any of these Terms and Conditions, your only remedy is to discontinue using CopingUniversity.com and terminate your registration.

22. Termination

We may terminate and/or suspend your registration immediately, without notice, if there has been a violation of these Terms and Conditions or other policies and terms posted on the Services by someone using your Credentials. We may also cancel or suspend your registration for any other reason, including inactivity for an extended period, but will attempt to notify you in advance of such cancellation or suspension. We may terminate the Site, the Services, or any Service, at any time, without notice.

23. Indemnification

Upon a request by us, you agree to defend, indemnify, and hold harmless us, our employees, contractors, officers, directors, agents, parent, other affiliated companies, sponsors, partners, and suppliers from all liabilities, claims, and expenses, including attorney's fees, that arise from your use or misuse of the Site and the Services or any breach by you of these Terms and Conditions. We reserve the right to assume control of the defense of any third party claim that is subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

24. Electronic Contracting and Notices

Your affirmative act of using this Site and/or registering for the Site or Services constitutes your electronic signature to these Terms and Conditions and your consent to enter into agreements with us electronically. You also agree that we may send to you in electronic form any privacy or other notices, disclosures, reports, documents, communications or other records regarding the Services (collectively, “Notices”). We can send you electronic Notices (1) to the email address that you provided to us during registration, or (2) by posting the Notice on the applicable Service or otherwise through the Site. The delivery of any Notice from us is effective when sent by us, regardless of whether you read the Notice when you receive it or whether you actually receive the delivery. You can withdraw your consent to receive Notices electronically by canceling or discontinuing your use of the applicable Service. In order to receive Notices electronically, you must have a personal computer with a modem connected to a communications source (telephone, wireless or broadband), and a Windows-based operating system with an Internet browser or a Macintosh-based operating system with an Internet browser. You will need a printer attached to your personal computer to print any Notices. You can retrieve an electronic copy and a printable version of this contract by clicking on the “Terms and Conditions” link on any web page that hosts any of the Services. All contracts completed electronically will be deemed for all legal purposes to be in writing and legally enforceable as a signed writing.

25. Entire Agreement

This contract and any supplemental terms, policies, rules and guidelines posted on the Site and the Services constitute the entire agreement between you and us and supersede all previous written or oral agreements. If any part of these Terms and Conditions is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

26. Dispute Resolution & Jurisdiction

BY ACCESSING INFORMATION FOUND AT THIS SITE, YOU HEREBY AGREE THAT ANY CONTROVERY OR CLAIM ARISING OUT OF, OR RELATING TO THIS SITE SHALL BE RESOLVED IN CALIFORNIA, EXCLUSIVELY BY BINDING ARBITRATION PURSUANT TO THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION SOCIETY. The Terms and Conditions will be construed in conformance with the laws of San Bernardino County, California (excluding any conflict of law provisions) and judgment on the arbitration award may be entered into any court having jurisdiction.  You hereby consent to such jurisdiction and irrevocably waive any objections thereto, including on the grounds of forum non-conveniens. Any such controversy or claim will be arbitrated on an individual basis, and will not be consolidated in any arbitration with any claim or controversy of any other party.  You may not act as a representative member of a class or in a private attorney general capacity.  This site and its contents are not intended for use or distribution by any person in any jurisdiction where such use or distribution would be contrary to local law, rule or regulation. Regardless of where you access any such information, you agree to comply with all applicable United States laws, rules, and regulations, including, but not limited to, those laws, rules and regulations regarding the export of data. You are also responsible for complying with all other rules, laws and regulations that may be applicable to your use of any our.  The arbitrator shall base his/her determination on the substantive laws of the State of California (excluding conflicts of law principles) as though acting as a court of the State of California.  The arbitrator shall have the discretion to order a prehearing exchange of information, including, without limitation, the production of documents, and the taking of depositions.  In the event that you prevail in any arbitration, we will pay the administrative costs of arbitration (i.e., the costs of the arbitrator, but not your attorneys’ fees. 27. Statute of Limitations

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of this Site or these Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred.

The section titles in these Terms of Use are for convenience only and have no legal or contractual effect.

29. Assignment

We may assign this contract at any time to our parent, any subsidiary or affiliated company, or as part of the sale to, merger with, or other transfer of our company to another entity or to an entity that purchases all or substantially all of our assets. We will post a notice on the Site regarding any change of ownership so that you have the opportunity to discontinue your use of the Site or cancel your registration if you do not wish to continue to use the Site and Services under the new ownership. You may not assign this contract to any one else.
